| SUBSCRIPTION AGREEMENT |
| Please read the following terms and conditions relating to your subscription very carefully. |
By subscribing to any of our products or services, you agree to the terms and conditions set forth in this Subscription Agreement (this "Agreement"). You agree to be legally bound and to abide by this Agreement, just as if you had signed it. If you do not abide by the terms of this Agreement, we may immediately close your account - which includes your username, password and everything associated with them, including (but not limited to), webmail/email accounts, web sites and web files. We shall not be liable to you or any third-party for taking such actions. If you are dissatisfied or displeased with anything we say or do, or with any of our products or services, the only recourse you have is to close your account. In so doing, you may or may not be entitled to a refund. Please refer to our Refund Policy for information on refunds. |
| We reserve the right, in our sole discretion, to change, modify, add or remove provisions of this Agreement at any time. You should check this Agreement periodically for changes. By using any of our Products and Services after we post changes to this Agreement, you agree to accept the changes, whether or not you have reviewed them. If you do not agree to this, you should not use our Products and Services and you should close your account with us. |
| Scope of Agreement |
| This Agreement applies to your subscription to Products and Services offered by WhatHelps?, Inc. d/b/a WebHelps ("WhatHelps?," "we," "us," or "our"), both now and in the future. The following documents are also a part of this Agreement: |
| Your Use of Our Products and Services |
| Unless otherwise specified, so long as you pay your subscription fee and comply fully with this Agreement, we grant you a non-exclusive, non-transferable, limited right to access, use and display the Products and Services you subscribed to, as well as the free Products and Services that came with your account. You agree not to assign, transfer or sublicense your rights as a subscriber to our Products and Services. You understand that your subscription to our Products and Services is only valid for your use and may not be shared with or transferred to others. See our Terms of Use for additional information and provisions against reselling. You agree to be financially responsible for all Products and Services you have subscribed to. |
| Charges and Fees for Products and Services |
As a subscriber to our Products and Services, you agree as follows:
- You agree to pay, using a valid credit card (or other form of payment which we may accept from time to time), the subscription fees and one-time charges set forth on our web site for any Products and Services you subscribe to and any Extras you purchase or subscribe to. We reserve the right to increase charges and fees, or to institute new charges or fees at any time, upon reasonable advance notice e-mailed to you as a subscriber of the WebHelpsManagers List. We will automatically charge your credit card (or other form of payment) when you initially subscribe to a Product or Service and thereafter at the start of each renewal period for the billing frequency you have chosen (e.g. monthly, quarterly, annually), unless you cancel your subscription by closing your account or canceling the Product or Service before the relevant renewal period begins. The renewal charge will be the same as the prior period's charge, unless we notify you otherwise in advance. By leaving your account open or the Product or Service active in your account on the renewal date, you reaffirm your agreement that we may charge your credit card (or other form of payment, if applicable). - You agree to provide us with true, accurate and complete information as required by the signup process ("Membership and Billing Information"), including your legal name, address, telephone number, email address and applicable billing information (e.g., credit card number and expiration date), and to allow us to share your Membership and Billing Information with third parties solely for the purpose of verifying the information you provide and billing your credit card or otherwise charging your account.
- You agree to maintain and promptly update the Membership and Billing Information to keep it accurate. Without limiting any other provision of this Agreement, if you provide any information that is untrue, inaccurate, or incomplete, or we have reasonable grounds to suspect that such is the case, we reserve the right to suspend or terminate your subscription and refuse any and all current or future use by you of our Products and Services. You are obligated to check the My Account section of your Account Manager to determine whether your Membership and Billing Information is current and accurate, and, if not, to correct or update your Membership and Billing Information.

| If we cancel your subscription to any of our Products and Services (as opposed to you canceling your subscription) prior to the end of a quarterly or annual prepayment period, we will issue a refund in accordance with our Refund Policy. If we terminate your subscription due to a violation of our Terms of Use, no refunds of any kind will be made. |
| Cancellation of Subscription |
You may cancel your subscription at any time. You understand and agree that the cancellation of your subscription is your sole right and remedy with respect to any dispute with us including, without limitation, any dispute related to, or arising out of:
- any terms of this Agreement or our enforcement or application of this Agreement;
- any practice or policy of WhatHelps?, Inc., including, but not limited to, our Terms of Use, Service Agreement, and Privacy Policy, or our enforcement or application of these policies;
- your ability to access and/or use our web site or any Product and/or Service; or
- the amount or types of our fees or charges, or billing methods, or any change to our fees or charges, or billing methods.

| Upon cancellation of your subscription, we will immediately deactivate the related Products or Service, or your account, as applicable, and remove all related information and/or files for the Product or Service, or your account, and bar any further access to such information and/or files. |
| The *only* way to cancel your subscription is to login to your Account Manager, click the CLOSE ACCOUNT link, complete the Close Account form, and submit it. If you cancel near the end of your billing period and are inadvertently charged for the next period's subscription fee, contact billing@whathelps.com to have the charges reversed. If, however, you use our Products and/or Services during that next period, you will not be entitled to a refund. We reserve the right to collect fees, charges, and/or costs incurred before your cancellation takes effect. |
